Terms of Service

These Terms of Service ("Terms") govern your access to and use of the My Member Buddy platform and services ("Service") provided by Orana Software Inc. (a Wyoming corporation) and Orana Software Pty Ltd (an Australian company), collectively referred to as "My Member Buddy", "we", "us", or "our".
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. The Service is intended for association-of-commerce business use only — by agreeing to these Terms, you represent that you are using the Service on behalf of an association-of-commerce or similar member-based business association.
1. The Service
My Member Buddy provides a software platform for membership associations and member-based business associations to manage members, send campaigns and transactional emails, run events, publish a public member directory, accept member sign-ups, and optionally publish an association-branded public website. Paid add-ons extend the core platform with additional capabilities (see Section 6).
Subscription pricing
The Service is offered on a monthly subscription basis. Core pricing is per active member with a monthly minimum. Exact pricing is published at mymemberbuddy.com/pricing and is confirmed at the time of signup. Pricing is denominated in your selected currency (USD, AUD, CAD, GBP, or EUR) and is locked at signup for the duration of your subscription.
Paid add-ons
Optional paid add-ons (for example, the Premium site upgrade with custom domain and galleries, and the Member PWA app) are billed as separate monthly charges in addition to your core subscription. Add-ons can be subscribed or cancelled at any time from your account settings.
2. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at hello@mymemberbuddy.com if you become aware of any unauthorised access to your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to publish false, misleading, or defamatory content about members, your association, or any third party
- Use the Service to send spam, deceptive, or unlawful communications to your members or any other party
- Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure
- Use the Service to transmit malware or any harmful code
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell or sublicense access to the Service without our prior written consent
- Use automated tools to scrape or extract data from the Service
- Violate any applicable laws or regulations (including anti-spam laws and data-protection regulations applicable to your members) in connection with your use of the Service
4. AI-Generated Content
Parts of the Service use artificial intelligence — currently AI-suggested member categories during CSV import. You acknowledge that:
- AI-suggested categories are produced automatically and may not be 100% accurate
- You are responsible for reviewing AI-suggested categories and correcting any inaccuracies before importing
- We make no warranty that AI-suggested categories will be error-free, complete, or suitable for any particular purpose
- You retain ownership of the source content you provide; you grant us a licence to process that content to deliver the AI features of the Service
5. Your Content
You retain ownership of all content you upload or provide to the Service ("Your Content"), including association branding, member records, campaign drafts, event details, photos, blog posts, and documents. By providing Your Content, you grant My Member Buddy a non-exclusive, worldwide, royalty-free licence to use, process, reproduce, and display Your Content solely for the purpose of providing the Service to you.
You represent and warrant that Your Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. You further represent that you have the necessary consents from your members to upload and process their personal data through the Service for the purposes of operating your association.
6. Payment and Billing
Subscriptions and add-ons are billed monthly in advance. Payment is processed via Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis.
If a payment fails, we will attempt to notify you and may suspend your access to paid features until payment is resolved.
All prices are exclusive of applicable taxes unless stated otherwise. Stripe Tax handles GST / VAT / sales tax calculation and remittance for jurisdictions where it applies. You are responsible for any taxes that fall outside of Stripe Tax's coverage in your jurisdiction.
Member payments via the platform (Stripe Connect)
Where you enable member-payment collection through My Member Buddy (e.g. members paying their renewal fees through your public association site), payments flow via a Stripe Connect Express account in your association's name. My Member Buddy retains no platform fee or skim on member payments — your association keeps 100% of the gross amount, less Stripe's standard payment processing fees which they deduct directly. Stripe's terms apply to your Connect account in addition to these Terms.
7. Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date. All payments are strictly non-refundable. We do not offer refunds for any unused portion of a subscription period, partial months, or any other circumstances.
Paid add-ons follow the same cancellation rule — cancel from your account settings; access continues to the end of the current billing period; no partial-month refunds.
8. Suspension and Termination
We reserve the right to suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if your account poses a security risk. In cases of material breach, we may terminate immediately.
You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
9. Intellectual Property
The Service, including its software, design, trademarks, and all My Member Buddy-owned content, is the exclusive property of Orana Software Inc. and Orana Software Pty Ltd. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it as described herein.
"My Member Buddy", "Association Buddy", "Orana Software", and associated logos are trademarks of Orana Software Inc. You may not use our trademarks without prior written permission.
10. Third-Party Services and Integrations
The Service integrates with third-party platforms including Stripe (payments), Mailgun (email delivery), Logto (identity), OpenAI (AI features), Azure Maps (geocoding), Google Maps (map rendering), and Microsoft Azure (hosting infrastructure). Your use of those third-party services through the Service is governed by their respective terms and privacy policies in addition to these Terms. We are not responsible for the availability, accuracy, or practices of third-party services.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MY CHAMBER BUDDY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL MY CHAMBER BUDDY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
12. Indemnification
You agree to indemnify, defend, and hold harmless My Member Buddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in Wyoming, USA, except that either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
For users located in Australia, nothing in these Terms limits any rights you may have under the Australian Consumer Law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
15. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and My Member Buddy regarding the Service and supersede all prior agreements and understandings.
